 Human Resources Association of Middle Tennessee -- By-Laws

ARTICLE 1- NAME

 The name of this organization is the Human Resources Association of Middle Tennessee, or HRA-MT.

 ARTICLE 2 – OBJECTIVES

 Section 1– The objectives of this Association shall be constituted of the following: 

  1. To unite, through membership in the Association, persons involved in human resources management.
  2. To provide opportunities for members to increase their knowledge of human resources management practices and methods.
  3. To develop through education, research, discussions and exchange of information a better understanding of the nature, purpose, and uses of the methods of human resources management, and to make this information available to members.
  4. To foster acquaintances and fellowship among members and provide opportunities for development of their individual abilities.
  5. To assist schools, organizations and other groups in the training of young men and women to prepare for the business world in the area of human resources management.

 ARTICLE 3 – FISCAL YEAR

 The fiscal year of this Association shall be the calendar year.

 ARTICLE 4 – MEMBERSHIP

Section 1– Types and Qualifications of Members.  The qualifications for membership in this Association is any individual engaged in human resources management-related work or any individual who possesses active PHR or SPHR certification from the HR Certification Institute (HRCI).  Individuals excluded from membership include those individuals representing employment agencies and consultants.  To achieve the objectives of this Association there will be no discrimination in individual memberships because of race, religion, sex, age, national origin, or handicap.  Memberships are individual and are not transferable to other individuals.  Persons possessing the necessary qualifications may, upon approval of the Executive Committee, be admitted to membership in the Association in one of the following levels:

Active Members: An active member shall be eligible to participate in all activities of the Association.  Active membership is open to one or more individuals not to exceed five from the same company or organization.  Not more than two active members from a company/organization shall be on the Executive Board at one time.

Honorary Members: An honorary membership may be extended by the Executive Board at any meting by a unanimous vote of the members present to an individual who has retired and who, in their opinion, performed a meritorious service in the interest of the Association while active or who has made an outstanding contribution in the field of Human Resources.  Such members shall not be required to attend meetings except as they so desire nor pay any dues.  Honorary members shall have no vote and shall not be elected to any office in the Association.

Section 2– Application for Membership.  Applications for membership will be reviewed by the Membership Chairperson and approved by the General Operating Committee Chairperson.  The General Operating Committee Chairperson will then make the recommendation to the Executive Committee who will make the final decision as to whether or not the applicant is accepted for membership.  New members will be afforded full membership rights from the date of application approval. 

Section 3– Voting.  Each Active member of the Association will have the right to cast one vote on each matter brought before a vote of the members.  Honorary members are not eligible to vote. 

Section 4– Retention & Transferability of Membership.  If a current member becomes unemployed or changes to a non-human resources profession, that individual may retain his/her membership status and may delay renewal payment of dues for up to one year.  Membership is considered an “individual” membership rather than a “company” membership.  Therefore, transfer of membership from one individual to another, even one employed by the same organization, is not permitted.

 ARTICLE 5 – DUES

 

Section 1 –Annual membership dues will be established for the next year by the Executive Board prior to January 1 of each year. 

  1. Dues for active members are annual and paid in advance for the following year.

  3. Dues for new members will be prorated and paid in advance for the current year.

  5. Any member being three months in arrears in payment of dues will be referred to the Executive Board who will take such action as deemed necessary.

 ARTICLE 6 – OFFICERS

Section 1 – Officers. The officers of the HRA-MT shall be as follows:  President, Vice-President, Secretary, Treasurer, and Operating Committee Chairperson.  Each officer shall serve for one calendar year and until their successors have been inducted into office. 

Section 2 – Qualifications. Officers shall be selected from members who are active and in good standing with the Association. 

Section 3 – Vacancies. If vacancies occur in any office, the Executive Board shall decide if and how a replacement will be made. 

Section 4– Officer Appointments. At the October meeting, the Nominating Committee, composed of the four immediate Past Presidents and anyone else the President cares to designate, shall present a slate of officers for the coming year. 

At the November meeting, the membership shall vote on the new officers including any nominations from the floor.  The new officers will be inducted and assume office at the end of the December meeting each year. 

Section 5– Duties and Responsibilities: 

  1. President– The duties of the President shall be to preside at all meetings of the Association and of the Executive Board, to appoint all committees and to perform the other duties usual and appertaining to the office.  He/she shall be an ex-officio member of all special and standing committees.

Vice-President– The Vice-President shall perform such duties as may be delegated by the President of the Executive Board and in the absence of the President shall preside and perform other duties of the President.  He/she shall also serve on the General Operating Committee as a member for programs.

Secretary– The duties of the Secretary shall be to maintain all necessary records of the HRA-MT and to perform other duties as the President or the Executive Board may direct.  This will include making arrangements for meeting place and meals, sending out notices of meetings, recording minutes of Association and Executive Board meeting; as needed, sending applications, preparing and presenting membership certificates, and publishing the Membership Directory.  The duties will also include publicity such as advertising meetings in local newspapers or other notices.

Treasurer– The Treasurer shall be custodian of the HRA-MT Tennessee funds and perform other duties as the President or Executive Board may direct.  The Treasurer will be responsible for all funds received and disbursed, maintaining records and accounts and providing financial reports as required including and in conjunction with the Audit Committee, a final report.  Association funds will be kept in a bank and all checks drawn from these funds will require the signature of the Treasurer.

Operating Committee Chairperson– The Operating Committee Chairperson shall be responsible for coordinating the activities of the Standing Operating Committees and performing other duties as the President and Executive Board may direct.  With their consensus, the Chairperson shall appoint a Chairperson for each of the following committees:  Membership, Social, Audit, and THRC Representative.  The Vice-President will serve as the Program Chairperson.  Each committee will select HRA members to assist in their endeavors, as required.

ARTICLE 7 – EXECUTIVE BOARD

Section 1– The Executive Board shall consist of the officers and two immediate Past Presidents.  This will be the procedure each year.  Should immediate Past Presidents not be available to serve on the Executive Board for some reason, the remaining board members will appoint a successor.  The board will serve for a calendar year. 

Section 2– The Executive Board shall administer the affairs of the Association as required.

ARTICLE 8 – MEETINGS

Section 1 - The meetings of the Human Resources Association of Middle Tennessee shall be held on the second Tuesday of each month at a place designated by the Secretary.  Any deviation from this, unless it is a special event, requires the approval from the membership. 

 ARTICLE 9 – CHAPTER DISSOLUTION

In the event of the Association's dissolution, the remaining monies in the Treasury, after Association expenses have been paid, will be contributed to an organization meeting the qualifications of a 501(c) (e.g., another Human Resources group, an HR-degree program, or other charity) decided upon by the Executive Board at the time of dissolution.

 ARTICLE 10 – AMENDMENTS

Section 1– These By-Laws may be amended at any regular meeting or special meeting of the membership of the Human Resources Association of Middle Tennessee, by majority vote of those present. 

Section 2– The Executive Board may recommend such supplementary rules and regulations as are needed to insure the welfare of the Association and the attainment of its objectives to be voted upon by the membership at any regular meetings.
